Matt has extensive experience representing clients across a variety of industries in all phases of litigation and arbitration. He focuses on complex commercial litigation and routinely litigates investor, contract, business tort, real estate and employment disputes. Matt has advocated for clients at hearings and trials, while employing a practical approach to achieve favorable resolutions to matters at earlier stages of litigation.

Matt earned his J.D., magna cum laude. from Boston University School of Law and received his B.A., summa cum laude, from Wagner College. He also served as a law clerk for the Honorable Eric N. Vitaliano of the United States District Court for the Eastern District of New York. Prior to. joining the firm, Matt practiced at Olshan Frome Wolosky LLP and Davis Polk & Wardwell LLP.

Complete Dismissal Affirmed in Shareholder Derivative Action Alleging Breach of Fiduciary Duty
Stein Adler successfully defended a group of corporate officers and directors in a shareholder derivative action in Kings County Supreme Court, where the plaintiffs alleged breach of fiduciary duty and conversion of corporate assets. The court dismissed all claims in full, finding that many were time-barred and that the remaining allegations were insufficient under New York’s heightened pleading standard for breach of fiduciary duty claims. The Appellate Division, Second Department affirmed the dismissal, bringing a complete end to the litigation. This victory underscores Stein Adler’s experience in defending complex shareholder and corporate governance disputes, from trial court through appeal.
